FAITH UNVEILED NETWORK TERMS AND CONDITIONS

Overview 
The Faith Unveiled Network (Network) provides internet video and podcasting services to audiences via the World Wide Web. The Network will strive to build the Network into other Medias, such as cable TV, Satellite TV, etc.

Purpose of The Network: To enhance the experience for the Network’s Ministries with above mentioned resources and communication activities.  The goal and mission statement of the Faith Unveiled Network is to unite the Kingdom of God via teaching, preaching,  dance, music, etc. through the internet, social media, mobile apps, etc., through the use of the Gifts of the Spirit according to 1 Corinthians 12: 4 – 11 and with the Word of God, on a global level.

The purpose of this document is to set forth the terms that govern the operation of the Network, its programming, operations, and facilities. It also acts as the Agreement between the Partner(s) and the Network.

Partner(s) 
A ministry, person, or group of persons who agrees with the Terms and Policies of the Network and signs a Contract to participate as a Programmer/Broadcaster in the business of the Network, will be considered a Partner(s).

Resources
The Network features multiple resources to the Partner(s) to spread the “Gospel of the Good News” of the Bible. These features are all-inclusive available options (See Schedule A), and new features may be added in the future to the Network. These resources are available in the following manners: 

The Network Internet Video Channel: A website that features video productions which Viewers may select to watch.  The Viewer has the option to watch the entire 24-hour, 7-day a week programming, or select individual programs to watch.  The Network offers half hour video spots and one hour video spots.

The Network RadioChannel: The Network’s website features radio podcast productions which Listeners may select, and Listener may listen to the entire 24-hour, 7-day a week podcasting or select individual podcasts.

Partner(s) Website Landing Page: The Network provides each Partner(s) their own landing page which will include a photo, a description of their ministry, links to Social Media pages, email contact info and their personal ministry website. This landing page will be within the major website of the Network.

Partner(s) Introduction Video: The Network provides each Partner(s) with a 30 – 45 second video introducing themselves, their ministry and their merchandise.  The Viewer has the option to click and watch these videos at any time.  These videos may be amended with the agreement of the Partner(s) and the Network.  Fees may apply.

Network Telethons: The Network may hold from periodic fund raising telethons.  Partner(s) will have the option to participate in the telethon.  During the telethons, Partner(s) will have the opportunity to promote their ministry and merchandise. During the telethons, Partner(s) will be encouraged to promote the Network. The Network shall have video messages between each Partner(s)’s time to promote itself and the Partner(s).

Personal Video Training: The Network will conduct periodic Video Training Seminars for the Partner(s). These seminars will provide training on how to conduct oneself in front of a camera. These seminars will be conducted by experienced professional personnel with years of experience, both in front and behind the camera.  Partner(s) will be required to attend these seminars to effectively present their message. These seminars will be at no cost to the Partner(s).

Multiple Selling Platforms:Should the Partner(s) have merchandise to sell, the Network offers several selling formats; video, podcast, opportunities during any Network telethons, personal iPhone / Android apps; ministry website, and other sources that may arise in the future of the Network.  Each Partner(s) keeps 100% of the profits of their ministry merchandise sales.

Social Media Exposure: The Network will promote itself and its Partner(s) via various types of social media, including, but not limited to: Facebook, YouTube, Twitter, Google +, and Instagram.  The Partner(s) may, or may not promote the Network on their personal or ministry social media pages.  Currently the Network has platforms on:
YouTube: The Network has its own YouTube Channel where all Partner(s)’ videos will be placed and promoted besides the Network’s website. 
Facebook: The Network has its own Facebook page where all Partner(s) will be promoted. 
Twitter: The Network has its own Twitter account where all Partner(s) will be promoted.  
Instagram: The Network has its own Instagram account where all Partner(s) will be promoted. 

Network of Ministers:  As the Network grows, it will have a vast number of ministers, book authors, singers, comedians, etc. in which to network.  The Network encourages networking among the Partner(s) with the hope of blessing each other’s ministry by being Guest Speakers to another ministry.  Along with this, the Network will hold, from time to time, Ministry Network meetings, providing an opportunity to meet and greet each other.

PARTICIPATION OPTIONS
The Network offers options in which each Partner(s) may participate.  These options come with a monthly fee (See Schedule A).  Partner(s) may cancel any options with a written 30-day notice.  Should the Partner(s) decide to leave the Network, some options may, by the Partner(s)’s choice, continue outside the premises of the Network.

(Option) Partner(s) Ministry Website: The Network provides each Partner(s) their own ministry website, should they need one. This website will be promoted within the Network sources. The style and design of the website is at the discretion of the Network Administrators.  Each Partner(s) shall provide all content of the website.  If the content is not provided, the Network will fill the content at the Administrator’s discretion.  If the Partner(s) is not in agreement with the content, an hourly fee (See Schedule A) will be administered to make the necessary changes.  The Partner(s) shall be responsible for the hourly fees.  If for any reason, the Partner(s) leaves the Network, the Partner(s) has the opportunity to retain the Partner(s) Ministry Website at the monthly hosting fee. 

(Option) iPhone / Android App: The Network has its own iPhone and Android Mobile App.  Some features are:

  • Over 40 versions of the Bible
  • Customized bible reading plan
  • Custom form builder
  • Online giving
  • Social Share
  • Social media integration
  • Podcasts
  • Network Videos and more

Partner(s) may choose to have their own app built within the Network’s app.  Personal apps within the Network’s app will cost each Partner(s) a monthly fee (See Schedule A). If for any reason, the Partner(s) leaves the Network, the Partner(s)’s personal app will be removed.

(Option) Ordination Into Faith Unveiled Ministry:  The Registered Owner of this business is Bishop of Faith Unveiled Ministries, Inc. If Partner(s) agree with the Statements of Beliefs (See Schedule B), you also accept the terms of the Constitution of Faith Unveiled Ministry. The ministry has the right to ordain ministers.  If you wish to be a State recognized ordained minister, you have the option of requesting an application to be ordained by Faith Unveiled Ministry.  This option comes with an annual fee (See Schedule A), payable to Faith Unveiled Ministries.  Should the Partner(s) decide to leave the Network, the Partner(s) has the opportunity to retain the ordained status, as long as the fees are paid on the anniversary of your ordained certification.  The Bishop of Faith Unveiled Ministry has the right to remove the ordained status if conduct is found to be contrary to the Statements of Belief (See Schedule B).

GOVERNANCE / ADMINISTRATION
The Network is an Orange County, California business owned and operated by The Bishop of Faith Unveiled Ministries, Inc., Doing Business As Faith Unveiled Network.  The address of this business is Faith Unveiled Ministry, 30251 Golden Lantern, Ste E 374, Laguna Niguel, CA 92677.  Partner(s) are conducting business with the business of Faith Unveiled Network.  The owner of this Network has overall authority to manage daily operations, implement terms, policies and procedures, and make final programming decisions.  The owner of the business may set up a Board of Advisors for accountability and advice. 

STANDARDS OF CONTENT
The Network strives to establish and maintain professional and Godly standards in program production, content, and media operations.  All Partner(s), and their content, are expected to ensure that the content represents Godly issues fairly, is accurate, and is produced in good taste. The Partner(s) will adhere to all standing Network terms and policies. All content should comply with the following standards:

Ethical Standards 
Materials submitted for distribution on the Network should be of high ethical standards. The Network does not distribute obscene or indecent material that is patently offensive. Defamatory content made in a maliciously false context intended to ridicule or degrade the Network, any persons, departments, programs, or entities will not be shown.  These conditions are at the discretion of the Network Administration.

Editorial Standards 
Materials submitted for distribution on the Network should be of good technical quality and maintain high editorial standards. Content providers should review their materials for spelling and grammar prior to submission. Efforts will be made to provide accurate, complete information, as well as balanced reporting.  Should the Network fail to meet these standards, it will be responsible for playing it again. These conditions are at the discretion of the Network Administration.

Statements of Belief
Faith Unveiled Network is owned by Bishop of Faith Unveiled Ministries, Inc.  Faith Unveiled Network is a Christian Network and conducts itself according to the Articles of Incorporation and the Constitution of the Church of Faith Unveiled Ministries. All Partner(s) are subject to the Statements of Belief that are set forth in the Constitution of the Church of Faith Unveiled Ministries (See Schedule B) and acknowledges belief in the Lord Jesus Christ and uphold Biblical beliefs.  If at any time, the Partner(s) are conducting themselves in a questionable manner; they are subject to dismissal from the Network.  The Network shall confer with a Partner(s) regarding misconduct with the intent to resolve any issues. It is at the discretion of the owner of the Network to determine if said conduct is acceptable, or constitutes grounds for dismissal from the Network.

Disclaimer 
Partner(s) shall defend, indemnify and hold the Faith Unveiled Network, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors or omissions of the Partner(s) in performance of this Agreement, except for injuries and damages caused by the sole negligence of the Faith Unveiled Network.  At least twice each day, a video disclaimer will air over the Network informing Viewers that the belief of the Partner(s) expressed over the Network are not necessarily those of the Network, or its administration, or any other Partner(s) involved with the Network.

Station Identification
The FCC Content Regulations state: the FCC requires stations to air identification announcements every hour as close to the start of the hour as possible, at a natural programming break.  TV stations may make these announcements on-screen or by voice only.  Official station identification includes the station’s call letters or name, followed by the community specified in its license as the station’s location.  To adhere to these rules, the Network will video announce its identification every hour with a commercial break.  It is required that each Partner(s) announce, whether on video or by voice-over, who their ministry is, both at the beginning and the ending of each video.

Schedule Placement
The Network has the right to place Partner(s) media, including but not limited to video and podcasting in the timeline schedule of the Network at its own discretion for the benefit of the Network.  Should a Partner(s) desire a certain time slot, fees may apply.

Copyright Materials
There are many restrictions governing the use of copyright materials. If program Partner(s) are unsure  of  a  rule  regarding  copyright  material,  they  should  consult  the  owner, or choose not to display it.  No copyright materials may be used in programs aired on the Network without appropriate written permission of the copyright material’s owner. Written permission must be kept at the office of the Network.  All Partner(s) must submit a Copyright Release Form that includes provisions for video/film copyright clearances.

Indemnification 
Partner(s)  must  provide,  prior  to being published on media,  all  releases,  licenses,  or  other  required permissions needed to ensure that the program does not violate any copyrights or personal rights. Partner(s) must agree that the programming does not contain:

  • direct attempts to sell products or services that do not belong to Partner(s);
  • any material that is obscene, indecent, or an invasion of privacy;
  • any material that is slanderous, libelous, or unlawful;
  • any  material  previously  obtained  and  produced  that  is  copyrighted  or  subjected  to ownership or royalty rights, without necessary releases, licenses, or other permissions.

Permission and License 
Prior parental permission may be necessary when videotaping minors. Permission to videotape may also be necessary of speakers at sponsored events, in circumstances in which an individual’s privacy may be violated, or when footage is shot on private property. It is the Partner(s)’s responsibility to acquire the necessary permission and licenses for materials to be shown on the Network.

Advertising 
The Network reserves the right to accept a limited number of promotional announcements to air at no charge on its media outlets. Announcements promoting the Network events or offering services are given priority. Other announcements addressing vital concerns of the Partner(s) may also be considered.

Commercial Announcements 
The Network reserves the right to accept commercial announcements of 60 seconds or less advertising goods and services of interest and value to its audience in return for agreed upon compensation. The Network will not accept commercial announcements for tobacco, alcohol, or illegal goods or services or that promote services or advocate positions that the Network administrators deem inconsistent with the beliefs, goals, and mission of the Network.

All announcements must comply with the network’s Standards for Content. Announcements that simulate editorial content must be clearly identified as ADVERTISEMENT. Use of the Network’s name and all associated trademarks and service marks of the Network, are restricted to those advertisers who have obtained the prior written consent of the Network. All advertising must comply with the Network Terms and Policies for sponsorships, endorsements, and the acceptance of paid advertising.

Advertisers are responsible for obtaining any authorization to broadcast contents and for content accuracy.  The Network is not responsible for any errors in an advertisement after the advertiser has approved its contents or for any loss or expense, including legal expenses, arising out of the broadcast of an advertisement.

Acceptance of promotional material is subject to space availability and is at the discretion of the Network administrators.  The Network reserves the right to reject or cancel any advertisement.

Underwriting 
All video programming published on the Network’s media channels must be noncommercial, containing no solicitation of funds or direct attempt to sell products or services that do not belong to the Partner(s). Programs may, however, contain sponsorship credits acknowledging support given to producers to develop their programs. Sponsors may be credited with an audio and/or video acknowledgment at the beginning, during and/or end of each program. The length of such acknowledgment may not exceed 60 seconds for each of the underwriting sponsors. Underwriting support for produced programming is accepted at the discretion of the Network Administration and must comply with all advertising policies of the Network.

Additional Programming

Partner(s) of the Network, who are interested in establishing an additional program on the Network must submit a written proposal to the Network Administration.  A proposal should

include a rationale that defines the program, content, explains the significance of this content to the Network, and clarifies how the requester(s) will originate and support the programming of the proposed program. The owner of the Network, or elected committee will have final approval on all proposed additions.

Annual Accountability 
A yearly evaluation will review the content of programs distributed on the Network.  Criteria considered will include, but not be limited to, regulatory and contractual obligations, availability and cost of programming, overall value and significance to the Network, and the expressed interest of all concerned.  If criteria should not meet the standards of the Network, Partner(s) will to make necessary changes, or be removed from the Network.

Scheduled Payments
All Partner(s) payments are due on the date of signing this Agreement, and shall be due each and every month on the monthly date of Agreements anniversary, unless Partner(s) and the Network Administration agree on a different date.  Amount of payment is determined by the Partner(s)’s choice of option (See Schedule A).

Refund
Should a Partner(s) wish a refund, refunds can be given in full for any given month, within 5 days of publishing your content on the Network’s media.  No refund shall be allowed after content has been aired on the Network’s media.  There are no prorate refunds available. 

Disputes Resolution - Arbitration
According to Biblical standards of I Corinthians 6, all disputes are asked to be resolved within the Network of Partner(s). Three competent Network Partner(s) will be assembled to resolve all issues.  If issues cannot be resolved in a Biblical fashion; by using any of the Network’s services, you agree to submit to binding arbitration. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the Network. The number of arbitrators shall be [one or three]. 
The place of arbitration shall be Laguna Niguel, Ca.  California law shall apply.

Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. It is the intent of the parties that, barring extraordinary circumstances, arbitration proceedings will be concluded within [one hundred and twenty] days from the date the arbitrator(s) are appointed. The arbitrator(s) may extend this time limit in the interests of justice. Failure to adhere to this time limit shall not constitute a basis for challenging the award. Except as may be required by law, neither a party nor its representatives may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of [all/both] parties.

The cost of the arbitration proceeding and any proceeding in court to confirm or to vacate any arbitration award, as applicable (including, without limitation, reasonable attorneys’ fees and costs), shall be borne by the unsuccessful party, as determined by the arbitrators, and shall be awarded as part of the arbitrator’s award. It is specifically understood and agreed that any party may enforce any award rendered pursuant to the arbitration provisions of this Section by bringing suit in any court of competent jurisdiction. The parties agree that the arbitrator shall have authority to grant injunctive or other forms of equitable relief to any party. This Section shall survive the termination or cancellation of this Agreement. 
Each party shall pay its own proportionate share of arbitrator fees and expenses [plus the fees and expenses of the arbitrator it designated (if there are three arbitrators] and the arbitration fees and expenses of [the American Arbitration Association/the Judicial Arbiter Group]. The arbitrator(s) shall be entitled to award the foregoing arbitration and administrative fees and expenses as damages in his/her discretion].

This pertains to Partner(s), its agents, officers, employees or a third party supplier, or any other party, or relative associated with Partner(s).

Modifications to Operating Terms and Policies 
These operating terms and guidelines may be modified at any time, based upon the recommendations of the Network management. The owner of the Network must approve all changes.  Written notice will be given or sent via email, and implemented upon a reasonable amount of time to all Partner(s).

Right to Refuse Service
The Network reserves the right to refuse service to anyone that will conflict with its Terms and Polices and Statements of Belief. If anyone offends the good taste of, and in keeping with the Statements of Belief (See Schedule B) of Faith Unveiled Network, the Network can refuse to provide service.

Resignations
Partner(s) are encouraged to provide 4-week notice to facilitate a smooth transition out of the Network. If a Partner(s) provides less notice than requested, the Network shall provide no refunds and may deem the Partner(s) to be ineligible for returning to the Network, depending on the circumstances regarding the notice given.

STATEMENTS OF BELIEF

WE BELIEVE that the Bible is God’s Word. It is inspired and accurate. It is our perfect guide in all matters of life.
WE BELIEVE that sin has separated us all from God, and that only through Jesus Christ can we be reconciled to God.
WE BELIEVE that Jesus Christ is the son of God that became a son of man, that we sons of man can become Sons of God. He was conceived by the Holy Spirit and born of the Virgin Mary. He led a sinless life, took all our sins upon Himself, died and rose again.
WE BELIEVE that salvation is the gift of God to man. This gift is effected by grace, through faith in Jesus Christ, and it results in works pleasing to God.
WE BELIEVE that water baptism is a symbol of the cleansing power of God and a testimony of our faith in the Lord Jesus Christ.
WE BELIEVE that the Holy Spirit is our Comforter. He guides us in all areas of our lives. He also blesses us with spiritual gifts, according to 1 Corinthians 12, and empowers us to yield the fruits of the Spirit, according to Galatians 5.
WE BELIEVE that the Holy Communion is a celebration of Jesus’ death and our remembrance of Him.
WE BELIEVE that God wants to transform, heal and prosper us, so that we can live blessed and victorious lives that will impact and help others.
WE BELIEVE that we are called to preach the gospel to all nations.
WE BELIEVE that the Kingdom is God is at hand, and that the good news of the Gospel should be ministered at all times.
WE BELIEVE that if there be any good things, think on them.
WE BELIEVE in One God, One Spirit, and One Mind, in all and through all.
WE BELIEVE the two truths that Jesus was born from a virgin, and that same Jesus resurrected from the grave without man, or medical assistance – these two truths are the bookends of salvation. And our lives can, and will, write the stories of faith that will create the “books” of our personal journey.
WE BELIEVE the institution of marriage is only honored between a man and a woman, according to Genesis 2, Matthew 19: 4-6, I Corinthians 7:2-4 and Ephesians 5.
WE BELIEVE every effort should be administered that will lead to peace and mutual edification for ALL members in the Body of Christ.
WE BELIEVE that Christians should obey the Word of God as written in John 14:23, “Jesus answered and said unto him, If a man love me, he will keep my words: and my Father will love him, and we will come unto him, and make our abode with him.”
